Sometimes businesses may fail or they may switch from one owner to another. To ensure you alleviate yourself of any financial or legal obligations with the Texas Secretary of State, you must properly dissolve your LLC. In Texas, the process is very straightforward and can be done through the mail. The requirements for dissolving of LLC can be performed in one day and do not require the assistance of an attorney.
Go to the Texas Secretary of State website, click on the corporations section, look for the "forms and summaries" section, and click on "business/nonprofit." Scroll down and look for form 651. Click either the Microsoft Word or Acrobat file to download to your computer. Print two copies.
Fill out all the information, including the name of the company, the date of formation, the name and addresses of the members, and the reason for dissolving the LLC. Print out two copies, and make sure to sign them.
Fill out form 05–359 to submit a certificate of account status for resolution/termination. Go to the Texas Secretary of State website, clicking on the corporations section, scrolling down to the bottom of the page and clicking on "frequently asked questions." Click on "termination and reinstatements." Click on option three, which will give you the link to download form 05–359. Print out a second copy of form 05-359 for your records, though only one copy is necessary to send in to the Texas Secretary of State.
Submit both forms 651 and form 05–359 to the Secretary of State, along with the LLC termination fee. Dissolving your LLC in Texas costs $40, as of 2010. Submit your termination fee by mail to the Secretary of State, P.O. Box 13697 Austin, TX 78711- 3697.
Retain any documents that will be submitted to you via the Secretary of State as this will be proof that your business has been properly dissolved.
Resolve any open cases or issues that you have with the corporation (debts, legal issues) before dissolving the LLC, if possible.
