How to Create an LLC in Louisiana

A limited liability company can be created in Louisiana when a business files formation documents with the state. When an LLC is created in Louisiana, the company begins a separate legal existence apart from the members and managers of the company. A Louisiana LLC is a special type of business entity that combines the personal asset protection of a corporation with the tax advantages of a partnership business. The state of Louisiana allows a single person or an unlimited number of members to form an LLC.

Step 1

Pick a business name for the Louisiana LLC. The selected name of the Louisiana LLC must be distinguishable in comparison to other entities that are registered with the Louisiana secretary of state. Check the Louisiana secretary of state website or call the Louisiana secretary of state at 225-922-3242 to confirm that the selected name of the LLC is available for use (see "Resources"). Include the phrase "limited liability company" in the legal name of the Louisiana LLC. Avoid phrases that imply the Louisiana LLC is affiliated with a parish or administrative agency, as explained by the Louisiana secretary of state website.

Step 2

Complete the Louisiana articles of organization online, or print fill-in-the-blank articles of organization from the Louisiana secretary of state website. Visit the Louisiana secretary of state in person to pick up articles of organization in person, if you do not have access to the Internet. The address is 8585 Archives Avenue, Baton Rouge, LA 70809. Call the Louisiana secretary of state at 225-925-4704 to have articles of organization sent by mail.

Step 3

Prepare the Louisiana articles of organization. Supply the name, address and purpose for forming the Louisiana LLC. List the name and address of each person or business that is responsible for organizing and filing the Louisiana LLC's articles of organization with the state. Indicate the date when the Louisiana LLC will dissolve, unless it will have an unlimited life. Provide the name and address of a person or business that will accept the Louisiana LLC's legal documents. State whether the Louisiana LLC will be managed by the members of the company, or by non-members.

Step 4

File the completed articles of organization with the Louisiana secretary of state. Submit the articles of organization online using the Louisiana secretary of state website or fax the completed Louisiana articles of organization to 225-922-0435. Walk in to the Louisiana secretary of state's office to file articles of organization in person, or mail the completed documents. As of 2010, it costs $75 to file articles of organization with the Louisiana secretary of state.

Step 5

Prepare an operating agreement to establish rules and regulations for running a Louisiana LLC. There are no set criteria offered by the state of Louisiana in regard to creating an operating agreement for the company. Include information in the Louisiana LLC's operating agreement such as the manner for dividing the company's profits and the managerial duties of the company's members or managers. Maintain the operating agreement at the Louisiana LLC's main business location.
